Rams Global, Swinger International and Sri Group acquire Etro family’s minority stake

Italian luxury lifestyle brand ETRO has entered a new phase of growth following the acquisition of the Etro family’s minority stake by a group of industrial investors, in agreement with global consumer-focused investment firm L Catterton.

The investor consortium comprises Rams Global, Mathias Facchini of Swinger International, and banker Giulio Gallazzi through Sri Group. L Catterton will retain its position as majority shareholder and continue to play an active role in supporting ETRO’s long-term strategic development.

The transaction is aimed at strengthening ETRO’s industrial and strategic capabilities while underscoring strong external confidence in the brand’s positioning, momentum and future potential. Although financial terms were not disclosed, the valuation exceeded the level of L Catterton’s original investment, highlighting the value created since its entry and reinforcing ETRO’s growth trajectory.

The new industrial investors have joined ETRO as long-term partners after identifying significant untapped opportunities across existing and emerging markets. Their involvement is expected to support the brand’s next phase of international expansion and category development, leveraging their sector expertise, global networks and operational know-how.

Leadership continuity and governance

Chief Executive Officer Fabrizio Cardinali will continue to lead ETRO, remaining central to the execution of the company’s strategic plan. Under his leadership, ETRO has strengthened its governance framework, professionalised internal processes, built a high-calibre management team and enhanced brand relevance among both existing and new consumers.

Faruk Bülbül, representing Rams Global, will be appointed Chairman of the Board, working closely with Cardinali and the shareholder group to guide the brand’s next stage of growth. The appointment reflects ETRO’s ambition to evolve as a global lifestyle and cultural brand while remaining true to its heritage.

Commenting on the transaction, Luigi Feola, Managing Partner at L Catterton Europe, said ETRO has built strong momentum in recent years by reinforcing both its brand and operating platform. He welcomed the new investors as long-term partners who bring valuable industrial expertise and international reach, adding that the group remains committed to accelerating ETRO’s global expansion.

Rams Global brings more than 36 years of experience across 11 business sectors, including luxury real estate, hospitality and gastronomy, with operations spanning multiple countries and major global cities.

Swinger International S.p.A. is an Italian fashion group specialising in apparel, footwear, handbags and accessories across the prêt-à-porter and contemporary segments. The company manages proprietary brands such as women’s ready-to-wear label Genny, alongside licensed partnerships with international fashion houses.

Sri Group, led by Chairman and CEO Giulio Gallazzi, is a private equity firm focused on small and medium-sized enterprises, with extensive experience in international business development, corporate finance and governance.
