Leveraging on its strong positions, the BU is developing its presence in renewable energies, in the gas value chain and in energy efficiency services.
Reporting line
The Senior Legal Counsel will report to Chief Legal & Ethics Officer Assets & Operations.
Legal support to the operational assets within BU MESCAT;
Legal support to assets under construction ;
Legal support to company secretariat (including group re-organisations)
Other legal support as and when required by the MESCAT BU.
Job responsibility
Provide general advice (in particular to (1) Asset Country Managers (2) Operation and Maintenance Country Managers, (3) technical teams, (4) management of project companies and (5) management of operation and maintenance companies, on contract management and all legal matters as they arise (including regulatory and local law issues in coordination with local counsel) during the construction and operation phases of a project.
Provide dispute resolution advice and counsel to project companies and operation and maintenance companies whether arising under contracts with third parties or with other affiliates of the Group.
Monitor and manage (together with external counsel and where applicable the Group Litigation Department) dispute proceedings and litigations.
Deputise for the Chief Legal & Ethics Officer Assets & Operations as and when required including attendance at OMCO or AMCO Management Team Meetings.
Provide support (together with external legal counsel) on refinancings of Project Companies.
Willingness to act as a director on a number of boards in the MESCAT BU.
Assist, as the case may be, in the drafting, negotiation and renegotiation of long-term services, parts and repairs agreements in relation to operational projects.
Opine on O&M agreements to mediate disputes between the Project and Operation and Maintenance Companies.
Identify and manage issues during the construction and operation phases of projects that may affect the financing of a project and provide related legal advice and interface with lenders counsels as the case maybe (including the drafting of relevant waiver documentation).
Manage service agreements with project companies and operation and maintenance companies.
Monitor trends in construction law and agreements related to the development of independent power projects generally, monitor trends in the energy sector.
Monitor trends in dispute resolution and arbitration in the region.
Contribute to the development and improvement of procedures in the region.
Contribute to the implementation and use of the document management system.
Contribute to development of template agreements (EPC, O&M, LTSA etc. ) for the region.
Ensure compliance with policies and procedures issued by Engie, monitor and report on non-compliance with policies or procedures, pending or threatened violations of law or ethical values of the Group.
Encourage a culture of compliance with laws, ethics and integrity in the Group.
Control the use, quality and cost of external legal counsel.

Law Degree from a reputable university.
Common Law qualified (or considerable experience of working on common law governed documentation).
10+ years of legal practice.
Large law firm experience preferred, large corporate practice also valued.
Experience of IPPs and with detailed knowledge and understanding of EPC Contracts, financing documents, PPA, PWPA and other project documents preferred.
Excellent command of English.
Arabic advantageous but not required
